These Terms of Use (“Terms”) govern your access to and use of the MedOasis website, network, marketplace features, communications channels, and related services operated by MedOasis Health Technologies (“MedOasis,” “we,” “us,” or “our”).
By accessing or using MedOasis, you agree to these Terms. If you do not agree with them, please do not use the platform.
1. About MedOasis
MedOasis is a technology-enabled medicine sourcing and transaction facilitation platform designed to connect eligible medicine buyers with participating pharmacies, suppliers, distributors, and other qualified healthcare supply participants.
MedOasis provides technology, network, verification, communication, transaction-support, and related infrastructure. Unless expressly stated otherwise, MedOasis is not itself the manufacturer, importer, wholesaler, distributor, pharmacy, prescriber, or dispenser of medicines listed or discussed through the platform.
A supplier remains responsible for the medicines it offers, its representations regarding those medicines, and its compliance with applicable laws and professional requirements.
2. Eligibility
You may use MedOasis only if:
- you are legally capable of entering into a binding agreement;
- the information you provide is accurate and complete;
- you use the platform for lawful purposes; and
- you comply with all applicable laws, regulations, professional requirements, and these Terms.
Where a service requires a user to be a licensed healthcare professional, pharmacy, distributor, or other regulated participant, MedOasis may require evidence of the relevant authorization before permitting participation.
3. User Accounts and Information
You are responsible for providing accurate information when registering or using MedOasis.
You must not:
- impersonate another person or organization;
- submit false, misleading, or fraudulent information;
- use another person's credentials without authorization;
- attempt to bypass verification requirements; or
- allow another person to use your account where doing so would compromise the security or integrity of the network.
You must notify MedOasis if information relevant to your participation changes or becomes inaccurate.
4. Medicine Sourcing
MedOasis may allow users to submit medicine requests and receive responses from participating suppliers.
A request does not guarantee that a medicine will be available.
Availability, price, quantity, location, expiry information, delivery arrangements, and other transaction terms may vary by supplier.
Users are responsible for reviewing transaction information before completing an order.
Where a prescription is legally required, users must provide a valid prescription or otherwise comply with the applicable prescription requirements.
MedOasis does not prescribe medicines, diagnose medical conditions, or replace the advice of a qualified healthcare professional.
5. Supplier Information and Verification
MedOasis may conduct identity, business, professional, licensing, premises, or other verification checks on participating suppliers.
“Verified” means only that the information or credentials identified as part of MedOasis's verification process have been reviewed against the information available to MedOasis at the relevant time.
Verification does not constitute:
- a guarantee that every medicine supplied is genuine;
- a guarantee of medicine quality, safety, efficacy, or storage history;
- a guarantee that stock information is continuously accurate;
- a guarantee of future regulatory compliance;
- an endorsement of a supplier's products or services; or
- a guarantee that a transaction will be completed without dispute.
MedOasis may suspend or remove a participant where information provided becomes unreliable, verification cannot be maintained, or there is a reasonable compliance or safety concern.
6. Transactions and Payments
Where payment functionality is enabled, the applicable transaction flow, payment method, fees, and release conditions will be displayed or communicated before completion of the transaction.
Where MedOasis uses a third-party regulated payment or escrow infrastructure, funds may be held and released according to the terms and operating procedures of that provider.
Unless expressly stated otherwise, MedOasis does not represent that it is itself a bank, payment service provider, escrow institution, or deposit-taking institution.
Users must not make payment outside the designated transaction process where doing so defeats the protections or controls associated with the MedOasis transaction.
7. Delivery
Delivery may be performed by the supplier, MedOasis, or an independent logistics provider, depending on the transaction.
Delivery arrangements may include tracking and proof-of-delivery procedures.
Delivery times are estimates unless expressly stated otherwise.
Users should inspect medicines upon receipt and promptly report any issue relating to quantity, packaging, expiry, damage, temperature-sensitive handling, or other material discrepancy.
8. Disputes, Refunds and Returns
If you believe that a transaction has a material problem, you should notify MedOasis promptly through the designated support channel.
Depending on the circumstances, MedOasis may request:
- order information;
- photographs or videos;
- proof of delivery;
- packaging information;
- supplier communications;
- prescription information where relevant; and
- other evidence reasonably required to assess the issue.
Where a third-party payment or escrow provider is involved, its applicable payment, dispute, refund, and release procedures may also apply.
Nothing in these Terms removes any rights or remedies available to you under applicable law.
9. Prohibited Activities
You must not use MedOasis to:
- sell, purchase, request, or facilitate unlawful medicines or products;
- submit fraudulent medicine requests;
- misrepresent your professional or business status;
- upload false prescriptions or credentials;
- engage in diversion, counterfeit activity, or other unlawful pharmaceutical activity;
- circumvent transaction controls;
- manipulate reviews, verification systems, or supplier information;
- interfere with the operation or security of the platform;
- collect another person's information without lawful authority; or
- use MedOasis for any unlawful purpose.
MedOasis may suspend or terminate access where prohibited activity is suspected.
10. Intellectual Property
The MedOasis name, logo, website design, content, software, databases, graphics, text, and other materials provided by MedOasis are owned by or licensed to MedOasis unless otherwise stated.
You may not reproduce, modify, distribute, sell, reverse engineer, or commercially exploit MedOasis materials without prior written permission, except where permitted by law.
11. Third-Party Services
MedOasis may integrate or link to third-party services, including payment, communication, logistics, identity verification, hosting, analytics, or other technology providers.
Those services may have separate terms and privacy policies.
MedOasis is not responsible for the independent acts, omissions, availability, or policies of third-party providers except to the extent required by applicable law.
12. Availability and Changes
We may modify, suspend, or discontinue any part of MedOasis at any time.
We may also update these Terms when necessary.
The updated version will be published on this page with a revised “Last Updated” date.
Your continued use of MedOasis after an update constitutes acceptance of the updated Terms, except where applicable law requires additional consent.
13. Privacy
Your use of MedOasis is also governed by our Privacy Policy, which explains how we collect, use, disclose, retain, and protect personal information.
14. Disclaimer
MedOasis provides technology and network infrastructure and does not guarantee that:
- a requested medicine will be available;
- a supplier will accept a request;
- a displayed price will remain available;
- a delivery will occur within a particular timeframe;
- every supplier representation will be accurate; or
- every transaction will be completed without dispute.
Nothing on MedOasis should be interpreted as medical advice or as a substitute for consultation with an appropriately qualified healthcare professional.
15. Limitation of Liability
To the extent permitted by applicable law, MedOasis will not be liable for indirect, incidental, consequential, or special losses arising from your use of the platform.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
16. Indemnity
To the extent permitted by applicable law, you agree to indemnify and hold MedOasis harmless from claims, losses, liabilities, costs, and expenses arising from:
- your breach of these Terms;
- your unlawful use of the platform;
- inaccurate information supplied by you;
- unauthorized use of your account; or
- your dealings with another platform participant.
17. Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria.
Any dispute that cannot be resolved through good-faith discussion may be referred to the appropriate courts or dispute-resolution mechanism having jurisdiction in Nigeria.
